The Board of Family and Children's Services of the District of Rainy River is a Governance Board and, as such, makes decisions primarily regarding policy and strategic direction. The Board employs the Executive Director to manage the organization on its behalf in accordance with the policies and procedures it has established for the organization. The Board is nonetheless ultimately responsible for the affairs of the organization.

The Board of Directors consists of ten (10) directors who are elected and retire on a rotation basis. The election of directors takes place at the Annual Meeting, which is held each year in the month of June. At this meeting, a number of directors equal to the number of retiring directors are elected for a term of three (3) years. A director is not eligible for re-election after having served as a member of the Board for a total of nine (9) consecutive years until a period of eleven (11) months has elapsed from the date of his/her retirement.
